Terms and conditions for using Polaris Voice
1. Introduction and Acceptance
These Terms of Service ("Terms") constitute a legally binding agreement between you ("Customer," "you," or "your") and Polaris Voice Inc. ("Polaris Voice," "we," "us," or "our").
By creating an account, accessing, or using the Polaris Voice service (the "Service"), you agree to be bound by these Terms, our Privacy Policy, and any additional terms referenced herein.
If you do not agree to these Terms, do not use the Service.
These Terms apply to business use only. Polaris Voice is a B2B service designed for businesses, not individual consumers.
1.1 Modifications to These Terms
We may update these Terms from time to time to reflect changes in our Service, legal requirements, or business practices. When we make material changes, we will notify you via email to the address associated with your account at least 30 days before the changes take effect.
Your continued use of the Service after the updated Terms take effect constitutes your acceptance of the changes. If you do not agree to the updated Terms, you may cancel your subscription before they take effect.
2. Definitions
- Service: The Polaris Voice AI receptionist platform, including the web dashboard, AI voice agent, telephony services, integrations, and related features
- Account: Your registered Polaris Voice account and associated business profile
- Callers: Individuals who call phone numbers answered by the Service on your behalf
- Content: Any data, recordings, transcripts, documents, or materials uploaded to or generated by the Service
- Subscription: Your paid plan granting access to the Service
3. Eligibility
To use Polaris Voice, you must:
- Be at least 18 years of age
- Have the legal authority to bind your business to these Terms
- Operate a legitimate business
- Provide accurate and complete registration information
- Not be prohibited from using the Service under applicable law
We reserve the right to refuse service to anyone for any reason.
4. Account Registration and Security
4.1 Account Creation
To use the Service, you must create an account by providing:
- Your name and email address
- Your business name and information
- A valid phone number
You may register using email/password or through Google Sign-In. If you use Google Sign-In:
- We receive your name, email address, and profile picture from Google to create your account
- Your use of Google Sign-In is subject to Google's Terms of Service
- You can disconnect your Google account at any time from your account settings
4.2 Third-Party Integrations
Polaris Voice integrates with third-party services such as Google Calendar to provide appointment booking functionality. When you connect these services:
- You authorize Polaris Voice to access specific data necessary to provide the Service
- Your use of third-party services remains subject to their respective terms and privacy policies
- You may disconnect integrations at any time from your dashboard settings
- Disconnecting an integration will stop data sharing but does not delete data already collected
4.3 Account Security
You are responsible for:
- Maintaining the confidentiality of your login credentials
- All activities that occur under your account
- Notifying us immediately of any unauthorized access at support@polarisvoice.ca
We are not liable for any loss resulting from unauthorized use of your account.
5. Description of Service
Polaris Voice provides an AI-powered virtual receptionist that:
- Answers incoming phone calls on behalf of your business, 24 hours a day, 7 days a week
- Engages in natural conversation with callers
- Books appointments into your connected calendar or practice management system
- Takes messages and delivers them to you
- Provides information to callers based on your business knowledge base
- Transfers calls to designated human contacts when appropriate
- Blocks spam and unwanted calls
- Provides call recordings, transcripts, and analytics
5.1 AI Disclosure
All calls handled by Polaris Voice begin with a disclosure informing the caller that:
- They are speaking with an AI virtual assistant
- The call is being recorded
This disclosure is required by law and cannot be disabled.
5.2 Call Recording and Consent
All calls handled by Polaris Voice are automatically recorded and transcribed. While our virtual assistant discloses this at the start of every call, you (the Customer) are solely responsible for ensuring compliance with all applicable call recording laws in your province and the jurisdiction of your callers.
Key considerations:
- Two-party consent: Most Canadian provinces require all parties to a conversation to consent to recording. Polaris Voice's built-in disclosure is designed to satisfy this requirement, but you should verify compliance with the laws of your specific province.
- Cross-jurisdictional calls: If your callers are located in other provinces or countries, their local recording laws may apply. You are responsible for understanding and complying with these requirements.
- Industry-specific regulations: Certain industries (e.g., healthcare, legal, financial services) may have additional recording and data handling requirements beyond general privacy law.
You agree to indemnify Polaris Voice against any claims arising from your failure to comply with applicable recording consent laws.
5.3 Emergency Services
Polaris Voice is NOT an emergency service and cannot recognize, route, or connect calls to 911 or any other emergency service. You must maintain a separate phone line capable of reaching emergency services. Polaris Voice shall not be held liable for any injury, damage, or loss arising from the inability to contact emergency services through the Service.
5.4 Data Roles
When you use Polaris Voice to handle calls on behalf of your business:
- You are the Data Controller: You determine why and how personal information from your callers is collected and used. You are responsible for having a lawful basis to collect this data and for informing your callers as required by applicable privacy law.
- Polaris Voice is the Data Processor: We process caller data on your behalf and according to your instructions to deliver the Service. We will not use caller data for any purpose other than providing the Service to you.
A Data Processing Agreement is available upon request for customers who require one. Contact legal@polarisvoice.ca.
6. 7-Day Free Trial
We offer a 7-day free trial for all new accounts. The trial includes up to 25 minutes of call handling at no charge and does not require a credit card. At the end of the trial period, you may subscribe to a paid plan to continue using the Service. If you do not subscribe, your account will be deactivated.
7. Subscriptions and Billing
7.1 Subscription Plans
We offer the following subscription plans:
- Essentials: $99 CAD/month (150 minutes included, $0.75 CAD/minute overage, 7-day recording retention)
- Professional: $199 CAD/month (500 minutes included, $0.50 CAD/minute overage, 45-day recording retention)
- Executive: $299 CAD/month (1,500 minutes included, $0.30 CAD/minute overage, 45-day recording retention)

Prices are subject to change with 30 days' notice to existing customers.
7.2 Spam Filtering
Our AI automatically screens calls to filter out robocalls, telemarketers, and other unwanted callers. Spam detection is determined by our systems, and our classification is final.
8. Cancellation and Refunds
You may cancel your subscription at any time through your account settings or by contacting support@polarisvoice.ca.
Upon cancellation:
- Your subscription remains active until the end of the current billing period
- Your AI agent will be deactivated at the end of the billing period
- You will not be charged for subsequent periods
9. Acceptable Use Policy
You agree NOT to use the Service to:
- Violate any applicable law, regulation, or third-party rights
- Engage in fraud, deception, or misleading practices
- Transmit content that is defamatory, obscene, threatening, or harassing
- Attempt to gain unauthorized access to our systems
- Use the Service to build a competing product
10. Your Content and Data
You retain ownership of all Content you provide to the Service. By using the Service, you grant us a limited license to use, process, and store your Content to provide the Service.
We do NOT use your call recordings or transcripts to train AI models.
11. Service Availability
We strive to keep the Service available at all times but do not guarantee uninterrupted, timely, or error-free operation. The Service may be temporarily unavailable due to:
- Scheduled maintenance (we will provide advance notice when possible)
- Emergency maintenance to address security or stability issues
- Outages at our third-party infrastructure providers
- Circumstances beyond our reasonable control
We are not liable for any loss or damage resulting from Service unavailability.
12. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
Without limiting the foregoing, Polaris Voice does not warrant that:
- The Service will meet your specific requirements or expectations
- The AI virtual assistant will comprehend every caller with perfect accuracy
- Call transcriptions will be 100% accurate
- Spam filtering will correctly classify every call
- The Service will be uninterrupted, timely, secure, or error-free
The Service is not a substitute for professional judgment. You remain responsible for all business decisions made based on information provided by the Service.
13. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, POLARIS VOICE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS INTERRUPTION.
This applies regardless of the theory of liability (contract, tort, negligence, or otherwise) and even if Polaris Voice has been advised of the possibility of such damages.
Our total aggregate liability for all claims arising out of or related to these Terms or the Service shall not exceed the greater of (a) the fees you paid to Polaris Voice in the 12 months preceding the claim, or (b) $500 CAD.
Exceptions: Nothing in these Terms limits our liability for death or personal injury caused by our negligence, or for fraud or fraudulent misrepresentation.
14. Indemnification
You agree to indemnify, defend, and hold harmless Polaris Voice Inc., its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to:
- Your use of the Service in violation of these Terms or any applicable law
- Your failure to comply with call recording consent laws in your jurisdiction
- Content you provide to the Service that infringes on the rights of any third party
- Your negligence, fraud, or wilful misconduct
- Disputes between you and your callers or clients
15. Governing Law and Dispute Resolution
15.1 Governing Law
These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles.
15.2 Informal Resolution
Before initiating any formal proceeding, you agree to first contact us at legal@polarisvoice.ca with a detailed description of your dispute. Both parties agree to attempt to resolve the dispute in good faith within 30 days.
15.3 Binding Arbitration
If informal resolution is unsuccessful, any dispute arising out of or relating to these Terms or the Service shall be resolved through binding arbitration administered in Ontario, Canada, by a single arbitrator under the rules of the ADR Institute of Canada.
The arbitration shall be conducted in English and the decision shall be final and binding on both parties.
15.4 Class Action Waiver
You agree that any dispute resolution proceeding shall be conducted only on an individual basis and not as part of a class, consolidated, or representative action. You waive any right to participate in a class action lawsuit or class-wide arbitration against Polaris Voice.
15.5 Small Claims Court
Notwithstanding the above, either party may bring a claim in the Small Claims Court of Ontario for disputes within its jurisdictional limit.
15.6 Time Limitation
Any claim arising out of or related to these Terms or the Service must be filed within one (1) year after the cause of action arises, or the claim is permanently barred.
16. General Provisions
16.1 Force Majeure
Polaris Voice shall not be liable for any failure or delay in performing its obligations under these Terms where such failure or delay results from circumstances beyond our reasonable control, including but not limited to: natural disasters, pandemics, acts of government, cyberattacks, internet or telecommunications failures, power outages, labour disputes, or failures of third-party service providers.
16.2 Assignment
You may not assign or transfer your account or any rights under these Terms without our prior written consent. Polaris Voice may assign these Terms or any rights hereunder without restriction, including in connection with a merger, acquisition, or sale of assets.
16.3 Severability
If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, that provision shall be modified to the minimum extent necessary to make it enforceable, or severed if modification is not possible. All remaining provisions shall continue in full force and effect.
16.4 Entire Agreement
These Terms, together with our Privacy Policy and any applicable Data Processing Agreements, constitute the entire agreement between you and Polaris Voice with respect to the Service and supersede all prior agreements, understandings, and communications.
16.5 Waiver
Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision. Any waiver must be in writing and signed by Polaris Voice.
